Service Agreement

1. Engagement scope
Each engagement begins with a signed proposal or statement of work that defines the scope, deliverables, timeline, and fees. This page summarizes the standard terms that apply unless explicitly modified in writing.
2. Deliverables
Deliverables may include configured software, automations, CRM setups, dashboards, funnels, AI assistants, client portals, training sessions, and documentation. The specific deliverables for each client are listed in the signed proposal.
3. Project timeline
Timelines are estimates based on the information available at signing. Actual delivery dates depend on client responsiveness, third-party access, and scope stability. We communicate any expected delays as soon as they are known.
4. Revisions and change requests
Each proposal includes a defined number of revision rounds. Additional revisions or out-of-scope change requests may be billed separately. Material scope changes require a written change order signed by both parties.
5. Client cooperation
The client agrees to provide timely access to relevant accounts, systems, data, content, and decision-makers. Failure to provide required cooperation may delay the project and is not grounds for termination for cause.
6. Acceptance criteria
Upon completion of deliverables, the client has a review period to test and accept the work. Acceptance is deemed given if the client does not provide written objections within the review period or begins using the deliverables in production.
7. Support after launch
Standard packages include 90 days of post-launch support for fixes, minor tweaks, and questions related to the delivered system. Support does not include new feature development, major redesigns, or work outside the original scope.
8. Payment terms
Fees are due according to the schedule in the proposal. Deposits may be required. Work may be paused if invoices are not paid by the due date. The client remains responsible for all third-party subscription and usage fees.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the agreement.
10. Independent contractor relationship
Veloza Tech Solutions is an independent contractor. Nothing in the agreement creates a partnership, joint venture, agency, or employment relationship between the parties.
